General Sales Contract

By submitting your payment, you hereby agree to the following terms of the contract.

1. Terms. Payment will accompany this Contract. If art work is involved, it will be provided by the Buyer to TVP
NLT, three (3) weeks prior to the require event or publication. (All artwork to be used in advertising to be sent as “final print quality (.jpg) format”, by e-mail to: marketing@tennesseevalleypride.com). This Contract will be valid for only the items listed in the description above. However, if as of such date, Buyer is unable to fulfill their obligation, TVP may then render this Contract null and void and thus cancel this Contract reserving the right to sue for its damages, including lost profits, offsetting the deposit there against, and further recover its cost of suit including attorney fees.
2. Charges. TVP will use this Contract for all invoices. Buyer will submit payment upon completion of this Contract.
3. Governing Law. This Contract shall be governed by the laws of the State of Tennessee. Any disputes hereunder will be heard in the appropriate federal and state courts located in Chattanooga, Hamilton County, Tennessee.
4. Force Majeure. TVP may, without liability, delay performance or cancel this Contract on account of force majeure events or other circumstances beyond its control, including, but not limited to, strikes, acts of God, political unrest, embargo, failure of source of supply, or casualty.
5. Miscellaneous. This Contract contains the entire agreement between the parties and supersedes and replaces all such prior agreements with respect to matters expressly set forth herein. No modification shall be made to this Contract except in writing and signed by both parties. This Contract shall be binding upon the parties and their respective heirs, executors, administrators, successors, assigns and personal representatives.
6. Invoice. A returned signed copy of this Contract to the Buyer, will serve as a Tax Deductible Donation receipt.
